Terms of Service

Please read these Terms carefully before creating an organization on FlexPulse AI. By clicking “I agree to the Terms of Service” during onboarding, you enter into a binding agreement with FlexPulse AI on behalf of yourself and the organization you are creating.
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the FlexPulse AI platform (“Service”) operated by FlexPulse AI (“Company”, “we”, “us”, or “our”). By creating an organization account, you confirm that:
- You are at least 18 years old.
- You have the legal authority to enter contracts on behalf of your organization.
- You have read and agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not create an organization account.
2. Description of the Service
FlexPulse AI is a SaaS revenue operations platform that provides:
- Real-time revenue and occupancy dashboards
- AI-powered MRR and occupancy forecasting
- Multi-location portfolio management
- Marketing analytics (CPL, CPT, CAC)
- Role-based team management
- Data ingestion via Google Sheets, CSV, and API
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
3. Accounts & Organizations
3.1 Account Registration
You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your password and for all activity under your account.
3.2 Organization Accounts
When you create an organization, you become the “Organization Owner.” You may invite team members to your organization and assign roles (Admin, Regional Manager, Location Manager). You are responsible for all activity within your organization account, including the conduct of your team members.
3.3 Account Security
You agree to notify us immediately at hello@flexpulse.ai if you suspect unauthorized access to your account. We are not liable for loss resulting from unauthorized account access that you failed to report promptly.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload false, misleading, or fraudulent data
- Attempt to gain unauthorized access to any part of the Service
- Reverse-engineer, decompile, or disassemble the Service
- Use automated means (bots, scrapers) to extract data not intended for public access
- Transmit malware, viruses, or any code designed to harm the Service
- Use the Service on behalf of a competitor for competitive intelligence purposes
We reserve the right to suspend or terminate accounts that violate this section without prior notice.
5. Subscriptions & Billing
5.1 Plans
FlexPulse AI offers paid subscription plans. Plan details, pricing, and included features are described on our Pricing page. We reserve the right to change prices with 30 days' advance notice.
5.2 Free Trial
New organizations may access a 14-day free trial with full feature access. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription.
5.3 Payment
Subscriptions are billed monthly or annually in advance. Payment is due upon invoice issuance. Late payments may result in service suspension after a 7-day grace period.
5.4 Cancellation & Refunds
You may cancel your subscription at any time from your organization settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months unless required by applicable law.
6. Data Ownership
6.1 Your Data
You retain full ownership of all data you upload or generate within the Service (“Customer Data”). We do not claim any intellectual property rights over Customer Data.
6.2 License to Us
You grant us a limited, non-exclusive license to process, store, and transmit Customer Data solely to provide the Service to you.
6.3 Data Export
You may export your Customer Data at any time while your account is active. Upon account termination, we will retain data for 90 days during which you may request export, after which it will be deleted per our Privacy Policy.
7. Intellectual Property
The Service, including its software, design, trademarks, and content, is owned by FlexPulse AI and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as described herein.
8. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only for the purpose of performing obligations under these Terms. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
AI forecasts and analytics provided by the Service are estimates based on your data. They are informational only and do not constitute financial, legal, or business advice. You are solely responsible for decisions made based on Service outputs.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEXPULSE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless FlexPulse AI and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
12. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you materially breach these Terms, including non-payment, prohibited conduct, or misrepresentation.
Upon termination, your right to use the Service ceases. Sections 6, 7, 9, 10, 11, and 13 survive termination.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising under these Terms will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules, with proceedings conducted in English.
YOU WAIVE ANY RIGHT TO A JURY TRIAL OR CLASS ACTION PROCEEDING IN CONNECTION WITH THE SERVICE.
14. Changes to These Terms
We may update these Terms at any time. For material changes, we will notify you via email at least 14 days before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. General
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and FlexPulse AI regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any right or provision is not a waiver of that right.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.
